Terms and conditions of purchase – SilentDirect AB

§1. General

These terms and conditions ("Agreement") govern sales via the internet (distance selling) and apply to purchases from SilentDirect AB (VAT: SE559330316601), hereinafter referred to as the "Seller." The purchasing party is hereinafter called the "Customer." The terms are designed for sales to private individuals aged 18 and over, as well as to companies and business operators domiciled in Sweden. They apply to the purchase of goods ("Products") via our website: https://www.silentdirect.com (hereinafter the "Website").

The terms in this Agreement do not apply to purchases made before June 13, 2014. Any changes to the terms will be clearly indicated with specified end dates if applicable, where the Agreement will cease to apply at midnight on the stated day. You as a customer are given the opportunity to accept these terms when placing your order.

Terms or parts of this Agreement that conflict with mandatory legislation are invalid to the extent that the deviation does not benefit the Customer. This only applies if the Customer is a private individual and the purchase is for private consumption.

§2. Ordering

At SilentDirect AB, you can easily and securely order our products. We offer safe payment options and reliable deliveries. When you click the "Pay purchase" button at checkout, your order is sent to us, and you simultaneously accept payment responsibility for your order. A confirmation of your order is then automatically sent to the email address you provided during the purchase, with the subject line "Order confirmation."

For a smoother experience, you can also complete your order via our guest checkout without creating an account. By clicking "Pay purchase," you enter into this Agreement with SilentDirect AB.

Order modification

We want you to feel confident in your purchase. If you need to change your order, you can contact us via email at kundservice@silentdirect.se. Please note that changes must be communicated before the order has been packed and shipped.

Order cancellation

If you change your mind, you have the option to cancel your order. To do so, contact us via email at kundservice@silentdirect.se. As with modifications, cancellations must be made before your order has been packed and processed.

§3. Prices and fees

Prices

All prices on our website are stated in Euro (€). As a visitor, you can choose to display prices including or excluding value-added tax (VAT) using the "Incl. VAT/Excl. VAT" function. For taxable products, 25% VAT is added.

Fee for uncollected shipment

If you, as a customer, do not collect your order, additional costs will unfortunately be passed on to you. The return shipping cost is specified here on the website, and an extra fee equivalent to 50% of the return cost will be added. This fee covers the additional charges our shipping company bills us for handling an uncollected shipment. Please note that if you do not collect your order, this does not count as a notice of withdrawal from your purchase. For more information about the right of withdrawal, see §8. Fee for prepaid return shipping label

If you choose to use a prepaid return shipping label, a fee starting at 30€ including VAT will be charged. You can purchase the return shipping label directly via our website. For more information about returns and exchanges, please read the section Returns & exchanges.

Fee for changing delivery address after order

When ordering from us, it is important that you double-check your delivery details before completing your purchase. This ensures that your order is delivered quickly and smoothly to the correct address.

If an order has already been packed and shipped from our warehouse and you later realize that you have provided incorrect delivery details, such as address or postal code, we need to contact our carrier, DHL, to correct this. Please note that an administrative fee of 40€ including VAT will be charged, which is a fee the shipping company charges for this change.

To avoid this cost, we recommend carefully checking your delivery details before confirming your order.

Offers

Offers and promotions advertised on the website are valid while stocks last, unless otherwise stated in connection with the offer.

§4. Products and assortment

Adaptation for the Swedish market

All products sold on our website are adapted for use in the Swedish market. This means they comply with both Swedish and European environmental requirements as well as safety regulations. If a product requires an instruction manual for proper use, such a manual is usually included in Swedish. In some cases, manuals or datasheets can instead be downloaded from our website. All technical specifications, accessory requirements, and information about any limitations or seals are provided on the respective product page to the extent relevant or required by law.

Color reproduction in product images

We strive for the product images on the website to reflect colors and properties as realistically as possible. However, color reproduction may vary depending on the type of display you use as a customer. Therefore, we cannot guarantee that the colors you see on your screen exactly match the actual color of the product.

Dimensional deviations

Most of the materials we sell are made of soft materials, which means that some dimensional deviations may occur. The tolerance for dimensions is up to ±10mm. This means that products in the same delivery, such as sheets or panels, may have small variations in height, width, and length. These deviations are often due to multiple sheets being packaged together in one box and may be compressed during transport.

Reservations

SilentDirect reserves the right to:

- Postpone release dates.

- Adjust prices.

- Manage sell-outs and stock discrepancies.

- Correct technical issues and any typographical errors on the website or in advertisements.

- Change technical specifications as needed.

We also reserve the right that product images and information on the website may not always be final. SilentDirect reserves the right to cancel an order without providing a specific reason.

§5. Payment

Payment options

We cooperate with Klarna as our payment provider. Through Klarna, you are offered several payment options, including card payment, online payment, invoice, and installment payment. Klarna’s own terms and conditions are available at checkout, which you accept by completing your purchase.

Invoice and payment information

If you choose invoice as your payment method, the invoice will be sent to the email address you registered when placing the order. Your order confirmation will also be sent to the same email address once the order has been processed.

Late payment

In case of late payment, reminder fees, interest on arrears, and any collection costs will be charged according to Klarna’s terms and conditions. These costs are handled directly by Klarna and not by SilentDirect. For questions about payments, we therefore refer you to Klarna’s customer service.

Payment security

SilentDirect does not charge any additional fees for any of our payment methods. We use SSL (Secure Socket Layer) to ensure that all transactions and orders are encrypted. For card payments, your card information is always handled securely and confidentially, in accordance with applicable security standards.

Acceptance of payment responsibility

By clicking the "Pay purchase" button at checkout, you as a customer accept payment responsibility for your order.

§6. Performance

SilentDirect AB begins fulfillment of this agreement when you click the "Pay purchase" button at checkout and thereby complete your order.

SilentDirect’s fulfillment

SilentDirect AB is considered to have fulfilled its part of the agreement when the ordered products have been delivered to you as the customer and are in your possession according to the agreed delivery method.

Customer’s fulfillment

You as the customer are considered to have fulfilled your part of the agreement when full payment for the ordered products has been made, and you have received the delivery in accordance with the agreement.

§7. Delivery & transport damage

Delivery options

Products are delivered to the address you provided at the time of order, or alternatively to a pickup point in cooperation with our logistics partners. SilentDirect AB ships orders on weekdays excluding public holidays. The stock status shown on the product pages indicates whether a product is in stock at the time of order. For orders including products with different delivery statuses, the entire order is shipped when all products are ready, as partial deliveries are not applied.

Shipping cost

SilentDirect AB always offers a free delivery option to pickup points, such as DHL Servicepoint, where you physically collect your package. Other shipping options have fixed costs clearly shown at checkout before completing the purchase.

Delivery time

Unless specific delivery times are stated for a product or separately agreed, SilentDirect AB commits to deliver without undue delay, but no later than 30 days from the conclusion of the agreement. For advance payments, delivery begins only after payment is received.

Notification and collection

You will receive a notification when your package is available for pickup at the pickup point. If notified by SMS, the information is sent directly to your mobile. Packages at DHL pickup points must be collected within 7 days from the notification date. Uncollected shipments are returned to SilentDirect AB, and you will be charged a fee as stated in §3.

Change of delivery address after order has shipped

When ordering from us, it is important to double-check your delivery details before completing your purchase to ensure your order is delivered quickly and smoothly to the correct address.

If an order has already been packed and shipped from our warehouse and you later realize that you provided incorrect delivery details, such as address or postal code, we need to contact our carrier, DHL, to correct this. Please note that an administrative fee of 40€ including VAT applies, which is a fee DHL charges for this change.

To avoid this cost, we recommend carefully checking your delivery details before confirming your order. If you have questions or need help with your order, please contact us before your order has been shipped.

Delivery via DHL Business Package

DHL Business Package is delivered directly to the business address within 3–5 weekdays excluding public holidays from when the order leaves our warehouse. One delivery attempt is included. If delivery cannot be made at the scheduled time and further attempts are needed, additional fees may apply. Contact DHL directly for changes. Shipments that cannot be delivered are returned to SilentDirect AB, and fees for uncollected shipments are charged according to §3.

Delivery to remote areas

For deliveries to addresses along rural mail carrier routes or in sparsely populated areas without bridge connections, the delivery time may be extended by an additional 3–5 weekdays excluding public holidays.

Delivery delays

If a delivery delay occurs that is materially significant for you as a private individual, you have the right to cancel the purchase without cost. This requires that SilentDirect AB cannot fulfill a delivery time that is crucial for you and that this was communicated at the time of agreement. For purchases of custom-made products, the right to cancel applies only if the delay substantially frustrates the purpose of the purchase and SilentDirect AB should have understood this.

Risk during transport

The risk for the shipment transfers to you as the customer once it has been delivered to you or your pickup point. SilentDirect AB bears the transport risk until the product reaches you.

Damage during transport and incorrect deliveries

For private individuals
If a product is damaged upon delivery, contact our customer service immediately. To file a damage claim, the damage must be reported to the carrier within 1–4 days. We appreciate if you report the damage within this timeframe and include photos of both the packaging and the product. If the damage is visible upon delivery, it should be reported directly to the driver and noted on the shipping documents. SilentDirect AB will arrange a replacement delivery at no extra cost to you. Keep the packaging, address label, and any pallets until the matter is resolved.

For businesses
When delivering to businesses, visible damage to the packaging must be reported to the driver and noted on the shipping documents at receipt. Hidden damages must be reported to our customer service within 5 days of receipt. To report the damage, photos of the product and packaging are required. SilentDirect AB will arrange a replacement delivery at no extra cost. Always keep the packaging, address label, and any pallets until the matter is resolved.

§8. Right of withdrawal and returns

Right of withdrawal

Private individuals entering into this agreement have the right to withdraw from the agreement according to the law (2005:59) on distance contracts and contracts outside business premises. The right of withdrawal applies provided that:

- The product has not been used.

- The product is not custom-made according to the customer's wishes (e.g., sound-absorbing panels and SilentDirect Wall).

- Any seals have not been broken, if such exist.

Withdrawal period

The right of withdrawal applies for 14 days from the day you received the product. During this period, you have the right to inspect the product and return it if you regret the purchase. To exercise the right of withdrawal, you must:

- Notify SilentDirect AB that you wish to exercise your right of withdrawal.

- Return all products from the order within 14 days.

The customer is responsible for the return shipping costs and can purchase return shipping directly via our website. Read more under Returns & exchanges.

Refund

SilentDirect AB will refund the amount without undue delay, no later than 14 days after we have received the product or received proof that it has been sent back. The refund is made using the same payment method used for the purchase. Deductions may be made for:

- Depreciation of the product if it has been handled more than necessary.

- Shipping costs if other than standard shipping was chosen.

If only part of the order is returned, only the value of the returned products will be refunded.

Depreciation deduction when exercising the right of withdrawal

If the product has been handled more than necessary to inspect it, SilentDirect AB may make deductions for depreciation. Examples:

Level 1: Minor wear (e.g., small scratch): 100% deduction.

Level 2: Noticeable wear (e.g., obvious scratch): 100% deduction.

Level 3: Damage affecting function: 100% deduction.

Level 4: Severe damage/wear: 100% deduction.

Level 5: Unsellable product: 100% deduction.

If the product packaging is damaged or missing, a depreciation deduction of 50% applies.

Exceptions from the right of withdrawal

The following products are exempt:

- Custom-made or customer-adapted products (e.g., SilentDirect Wall and sound-absorbing panels).

- Products with broken seals.

- Products sold by the meter.

Open purchase – 14 days

Applies only to private individuals.
During the open purchase period, you can return products for a full refund of the product value. The customer pays shipping costs (both ways). Open purchase does not apply to:

- Custom-made or customer-adapted products (e.g., SilentDirect Wall and sound-absorbing panels).

- Products with broken seals.

- Products sold by the meter.

Conditions for open purchase:

- The product must be unused and undamaged.

- The product must not have been installed.

- The original packaging must be undamaged.

Right of exchange – 14 days

Applies only to private individuals.
You have the right to exchange products within 14 days from the delivery date. Upon exchange, you will receive a credit equal to the value of the returned products. This credit can be used to order new products.

Conditions for exchange:

- The product must be unused and undamaged.

- The original packaging must be undamaged.

- Does not apply to custom-made or customer-adapted products.

- Does not apply to products with broken seals.

The customer is responsible for return shipping costs for exchanges. Read more under Returns & exchanges.

Right of withdrawal expired (business customers)

If the right of withdrawal is no longer valid (e.g., for business customers), SilentDirect AB may in some cases approve a return. This is decided on a case-by-case basis and occurs with a depreciation deduction of at least 40% of the product’s purchase price.

§9. Complaints and warranty

Right to complain (Warranty claims)

Private individuals purchasing products from SilentDirect AB have the right to complain about products under the Consumer Purchase Act (1990:932) and the Consumer Services Act (1985:716). The right to complain applies for 3 years from the day the customer received the product and covers:

- Original defects, including defects arising during transport.

- Products that deviate from what was agreed between the customer and SilentDirect AB or otherwise show defects.

Limitations

The right to complain does not cover defects caused by damage the customer has caused themselves. For complaints made after 6 months from receipt, the customer is responsible for proving that the defect was original.

Complaint process:

1. Upon discovering a defect, SilentDirect AB recommends that you inspect the product immediately after delivery and contact us if necessary.

2. When making a complaint, the customer has the right to:

- Have the defect remedied.

- Receive a fault-free product as a replacement.

- Cancel the agreement and receive a refund (in some cases).

SilentDirect AB covers all reasonable costs for an approved complaint, including return shipping.

Please note that the customer should minimize any costs related to the complaint. If SilentDirect AB carries out a replacement delivery, the customer has the right to keep the faulty product until a replacement product has been delivered.

Warranty conditions

SilentDirect AB offers a warranty for functional and manufacturing defects occurring during the warranty period. The warranty does not cover:

- Normal wear and tear.

- Damage caused by the customer’s own alteration of the product’s function or appearance.

- Double-sided tape, glue, or similar materials, as we cannot guarantee adhesion on all surfaces.

Consumable items

The warranty does not apply to parts requiring regular maintenance and considered consumables, such as:

- Sealing strips.

- Sound-absorbing pads for chair legs.

- Other items consumed during normal use.

Complaint terms for business customers

Business customers who discover that a product deviates from the agreement or is otherwise defective have the right to:

- Have the defect remedied primarily.

- Receive a replacement product secondarily.

Limitations

The right to complain applies only to original defects and is limited to the product's value. Defects must be reported within 14 days of delivery by contacting SilentDirect AB via email at support@silentdirect.com.

Special conditions for business customers:

- The product must be unused and undamaged.

- Does not apply to products sold by the meter or with broken seals.

- The product must be complete and unassembled.

- The original packaging must be undamaged.

- Custom-made or customer-adapted products (e.g., sound-absorbing panels and SilentDirect Wall) are excluded.

§10. Returns

Packaging and Shipping

When returning products to SilentDirect AB, it is important that the products are packaged in a way that protects them during transport. SilentDirect AB recommends using the same packaging and materials that the product was delivered in, or equivalent protective materials.

If the products are poorly packaged and sustain damage during transport, you as the customer are responsible for these damages. Therefore, SilentDirect AB recommends always choosing a traceable shipment to ensure that the products reach us undamaged.

Refunds

SilentDirect AB will refund the amount without undue delay, normally within 10 days, in the following cases:

- When exercising the right of withdrawal according to §8.

- During the open purchase period according to our terms.

- In approved warranty claim cases.

The refund will be made using the same payment method used at the time of purchase, unless otherwise agreed.

§11. Reservations.

Retention of Title

All products sold by SilentDirect AB are subject to a retention of title until the customer has fulfilled their obligations under this agreement. This means that ownership rights transfer to the customer only when payment and other contractual commitments have been fully met. Until then, the customer does not have the right to:

- Consume or use the products.

- Sell, transfer, or take any actions that prevent SilentDirect AB from reclaiming the products if necessary.

Right of Rescission

SilentDirect AB reserves the right to rescind the agreement if it becomes evident that the customer has acted in bad faith, for example in cases of:

- Incorrect information about price or quantity on the website that the customer knew or should have realized.

If the right of rescission is invoked, the customer is not entitled to compensation or any damages from SilentDirect AB.

Right to Amend

SilentDirect AB reserves the right to change the content of the website at any time without prior notice, including but not limited to:

- Product range.
- Prices.
- Promotions.

Changes made do not affect agreements already entered into between SilentDirect AB and the customer.

Disclaimer of Liability

SilentDirect AB is exempt from all obligations under this agreement if liability arises due to:

- Events outside the agreement or SilentDirect AB’s control.

- Circumstances unrelated to SilentDirect AB’s operations.

- Conditions regulated by mandatory law.

§12. Disclaimer.

Force Majeure

SilentDirect AB is exempt from liability for fulfilling its obligations under this agreement in the event of circumstances beyond the company’s reasonable control. Examples of such events include:

- Government decisions or omissions.

- New legislation.

- Labor disputes.

- War or threat of war.

- Disturbances of public order, sabotage, or accidents.

- Extreme weather conditions, natural disasters, fire, or explosion.

If such a force majeure situation occurs, SilentDirect AB has the right to withdraw from its obligations under the agreement without being liable for any damages or losses incurred by the customer.

External Links

SilentDirect AB is not responsible for any damages, issues, or disruptions that may occur to the customer’s software or hardware as a result of using external links published on silentdirect.se.

Price Fluctuations and Trade Barriers

SilentDirect AB reserves the right to rescind the agreement in case of:

- Significant price fluctuations.

- Shortage of necessary components.

- Other trade barriers that reasonably prevent SilentDirect AB from fulfilling its obligations under the agreement.

In such cases, the customer is not entitled to compensation or damages from SilentDirect AB.

Tax and Fee Changes

SilentDirect AB has the right to rescind the agreement in case of significant changes in tax legislation or fees that materially affect the conditions of the agreement. The customer is not entitled to compensation or damages in such cases.

Delivery Delays Beyond SilentDirect AB’s Control

If a delivery delay occurs due to circumstances that SilentDirect AB cannot reasonably control, the company shall not be held liable for damages or losses suffered by the customer as a result of the delay.

Exceptions apply if otherwise specifically agreed between SilentDirect AB and the customer or if mandatory law dictates otherwise.

§13. Personal data and confidentiality.

SilentDirect AB values your privacy and complies with the General Data Protection Regulation (GDPR) to ensure that your personal data is processed securely and lawfully. We only collect and process the information necessary to fulfill our commitments to you as a customer.

§13.1 What is Personal Data?

§13.5 Your Rights

§13.5.1 Right of Access

§13.5.3 Right to Erasure
You can request that your data be deleted. Exceptions apply for information we must retain according to law, such as accounting laws.

Discrepancies between different publications

If differences arise between information in various publications, the data published most recently shall take precedence. Exceptions apply if the information is clearly incorrect or misleading when comparing the publications.

Intellectual property rights, logos, and trademarks

All material on the website, including software, logos, audio files, trademarks, texts, and images, is protected by intellectual property rights. This means that:

- The material may not be used, copied, or transferred to third parties without written permission from SilentDirect AB.
